In marketing a Reg A+ offering, it is important to avoid certain words or phrases that could imply misleading information to potential investors. These prohibited words include but are not limited to: "approve," "commit," "get in on the ground floor," "golden," "invest," "investor," "jackpot," "mini-IPO," "now," "once in a lifetime," "promising," "profits/profitable," and "reserve." These terms can give the impression of an obligation, urgency, or unrealistic expectations. Instead, words like "unique," "interesting," and "potential" are more suitable to use. Any projections must be conditional and accompanied by the Forward-Looking Information Legend. It is advisable to seek guidance from an attorney to ensure compliance with SEC regulations.
