Roles and Responsibilities

NCS Advisors serve as the operational link between project issuers and Entoro. They manage documentation, coordination, and readiness activities under Entoro’s direction, ensuring every project moves efficiently from intake to the structuring phase.

Advisors operate under Entoro’s supervision at all times and have no role in issuance, placement, or investor communications. They are only authorized to perform administrative and coordination functions as expressly directed by Entoro. Entoro retains full authority for all structuring, legal, and capital-markets decisions.

Lead & Intake

Identify qualified issuers, execute NDAs, and coordinate initial onboarding calls.

Documentation & Diligence

Organize data rooms, maintain checklists, and compile all required materials following Entoro’s Standardized Operating Procedures.

KYC/AML Coordination

Provide issuers with Entoro-approved links, confirm completion, and archive proofs securely.

Progress Management

Maintain project timelines, track milestones, and deliver bi-weekly status updates to Entoro.

Rating Preparation

Support readiness by ensuring all files meet completeness standards prior to Entoro’s review.

SPV Handoff

Guide the issuer through SPV setup and formation, coordinating all legal documentation and diligence materials required for Entoro’s final review.

Client Continuity

Remain a point of contact for issuer questions after final SPV documents have been uploaded.

Becoming an NCS Advisor begins with a short qualification and onboarding process. Entoro selects partners based on professional background, organizational capacity, and alignment with our compliance standards.

Approved Advisors may begin onboarding new issuers immediately upon activation. Entoro provides ongoing support, training, and process updates to maintain consistent execution and compliance across all engagements.

Qualification Review

Entoro reviews your experience, firm profile, and relevant project or sector exposure.

Orientation

Approved candidates receive an orientation pack that includes Entoro’s Standardized Operating Procedures, templates, and program manual.

Access & Activation

Once the participation agreement is executed, Advisors receive access to Entoro’s secure platform and are added to the active project rotation list.

The Process

Every project entering the Natural Capital Securities (NCS) pipeline follows a standardized sequence designed for speed, transparency, and control. Advisors guide issuers through the early administrative stages, while Entoro manages all structuring and issuance activities.

This process moves projects from onboarding to issuance efficiently, with clear accountability and oversight at each stage.

Lead & NDA

The Advisor identifies a qualified project sponsor, executes the mutual NDA, and schedules a kickoff call.

Eligibility & Intake

The Advisor collects initial project materials and assists Entoro in confirming eligibility under the NCS framework.

Data Room Setup

The Advisor uploads materials into Entoro’s platform using the approved folder structure and naming conventions.

KYC/AML & Diligence

The Advisor coordinates KYC/AML completion, assembles materials on the diligence checklist, and ensures all documentation meets Entoro’s standards.

Rating Preparation

When files are complete, the Advisor notifies Entoro for review and readiness verification before rating initiation.

SPV Formation & Legal Setup

The issuer establishes the SPV with Entoro’s guidance. The Advisor helps the issuer understand what is required and facilitates document preparation and delivery.

Issuance, Placement & Closing

Entoro provides structuring guidance, standardized offering templates, and manages investor placement once the SPV is established and documentation is uploaded into Entoro’s system. The Advisor’s formal role concludes at that point but they remain available for issuer communication and general coordination as needed.

Governance and Compliance

The NCS Advisory Program is managed and overseen by Entoro Capital, LLC, a U.S investment banking firm. All activities under the program are conducted within a defined operational and compliance framework to protect issuers, investors, and advisors alike.

Advisors operate strictly under Entoro’s supervision and are not permitted to solicit investors, provide investment advice, or participate in the sale of securities. Their role is limited to administrative coordination and project readiness support as directed by Entoro.

All communications, documents, and project data must be managed through Entoro’s approved systems and workflows. Unauthorized sharing, marketing, or public representation of NCS transactions is prohibited.

Participation in the program is subject to ongoing review, performance evaluation, and compliance verification. Entoro reserves the right to modify, suspend, or terminate advisor participation at any time.
