Collateralized Liquid Environmental Asset Note (CLEAN) is a standardized, turnkey financial program that enables environmental projects to be issued as tradeable securities. Designed to cut through the complexity of traditional carbon markets, CLEAN packages all necessary legal, financial, and administrative components into a replicable model that reduces execution risk and accelerates capital deployment, often moving from intake to issuance in as little as three months.
Natural capital refers to the world’s stock of natural assets, such as forests, wetlands, grasslands, oceans, and soils, that provide critical ecosystem services. These include carbon removal, methane abatement, water purification, biodiversity protection, and other measurable climate and environmental outcomes. CLEAN enables these services to be structured and delivered as verifiable, financeable impact instruments.

Issuers begin by submitting project materials through Entoro’s secure onboarding portal. Our team conducts a review to assess eligibility and fit for the CLEAN structure.
A dedicated Special Purpose Vehicle (SPV) is formed and later transferred to the issuer for use in the transaction. This SPV serves as the legal issuer of the securities.
CLEAN offers two issuance structures to accommodate different capital needs:
• Prepay Model: Investors provide upfront capital in exchange for future delivery of environmental credits.
• Project Finance Model: Capital is disbursed over time, tied to performance milestones, and administered via escrow and a trustee.
Entoro provides sample legal templates, leads the preparation for regulatory filings, and supports legal contracts. Instruments are structured to comply with U.S. private placement standards.
The security is marketed to qualified institutional investors through Entoro’s broker-dealer. All offerings are issued in a Depositary Receipt (DR) format, complete with CUSIP and ISIN for institutional tradability and transparency.
Ongoing servicing is provided by our third-party vendors, including custody, delivery, reporting, and optional integration with secondary trading venues.
